                ("SaaS") platform provided by <strong>EagerLink, LLC</strong> to assist
                businesses with invoicing, customer management, payment tracking,
                and related administrative functions.

                By registering for or using Colavora Invoice, you agree to these
                Terms of Use and Privacy Policy.
            </p>

            <h3>1. Software-as-a-Service</h3>

            <p>
                Colavora Invoice is provided as a hosted
                <strong>Software-as-a-Service (SaaS)</strong> offering.
            </p>

            <p>
                Users are granted a limited, non-exclusive, non-transferable right
                to access and use the service through the Internet while their
                account remains active and subject to these Terms.
            </p>

            <p>
                Use of Colavora Invoice does not constitute the sale or transfer
                of the software or any ownership interest in the platform.
            </p>

            <p>
                EagerLink, LLC retains all rights, title, and interest in and to
                Colavora Invoice, including its software, source code, design,
                functionality, trademarks, intellectual property, and related
                technology.
            </p>

            <p>
                No perpetual software license or ownership right is granted
                to the user.
            </p>

            <h3>2. Use of the Service</h3>

            <p>
                Colavora Invoice is an administrative tool designed to assist
                individuals and businesses with activities including:
            </p>

            <ul>
                <li>Creating and managing customers.</li>
                <li>Creating, editing, and sending invoices.</li>
                <li>Recording and tracking payments.</li>
                <li>Generating invoices and payment receipts.</li>
                <li>Maintaining transaction histories.</li>
                <li>Accessing additional features that may be introduced by EagerLink.</li>
            </ul>

            <p>
                Users are responsible for reviewing and verifying all information
                entered into the system before issuing, sending, or relying upon
                any invoice, receipt, report, or other document generated through
                the service.
            </p>

            <h3>3. User Accounts</h3>

            <p>
                Users are responsible for maintaining the confidentiality of
                their account credentials.
            </p>

            <p>
                Users may not share account credentials with unauthorized
                individuals and should promptly notify EagerLink if they believe
                an account has been compromised.
            </p>

            <p>
                EagerLink may suspend, restrict, or terminate an account when
                reasonably necessary to address fraudulent, abusive, unlawful,
                or unauthorized activity, security concerns, violations of these
                Terms, or activity that may adversely affect the operation or
                availability of the service.
            </p>

            <h3>4. Acceptable Use</h3>

            <p>
                Colavora Invoice may only be used for lawful business or
                administrative purposes.
            </p>

            <p>Users may not use the service to:</p>

            <ul>
                <li>Engage in fraudulent or unlawful activities.</li>
                <li>Knowingly submit false or misleading information.</li>
                <li>Attempt to access data belonging to another user or organization without authorization.</li>
                <li>Interfere with the security, performance, or availability of the service.</li>
                <li>Circumvent security or access controls.</li>
                <li>Use automated processes in a manner that adversely affects the platform or other users.</li>
            </ul>

            <h3>5. Information We Collect and Store</h3>

                To provide Colavora Invoice, EagerLink may collect or store
                information including:

            <ul>
                <li>User name.</li>
                <li>Business or organization name.</li>
                <li>Email address.</li>
                <li>Contact information.</li>
                <li>Customer information entered by the user.</li>
                <li>Invoice and line-item information.</li>
                <li>Payment records.</li>
                <li>Account and operational activity.</li>
                <li>Technical information reasonably necessary to operate and secure the service.</li>
            </ul>

            <p>
                Users determine the business and customer information entered into
                Colavora Invoice and are responsible for having the appropriate
                authority to collect, process, and store that information.

                <li>Create and administer user accounts.</li>
                <li>Provide Colavora Invoice functionality.</li>

                <li>Maintain and secure the platform.</li>
                <li>Diagnose technical problems.</li>
                <li>Improve the service.</li>
                <li>Communicate important changes concerning an account or the service.</li>

                <strong>EagerLink does not sell users' personal information.</strong>

            <h3>7. Information Security</h3>

                EagerLink uses reasonable administrative and technical safeguards
                intended to protect information stored within Colavora Invoice
                from unauthorized access, alteration, loss, or disclosure.

                However, no Internet-based service can guarantee absolute security.
            </p>

            <p>
                Users are also responsible for maintaining the security of their
                passwords, devices, accounts, and access credentials.
            </p>

            <h3>8. Service Providers and Disclosure of Information</h3>

            <p>
                EagerLink may use third-party technology and infrastructure
                providers as reasonably necessary to operate Colavora Invoice,
                including providers of hosting, storage, email delivery,
                document generation, security, backup, and related technology
                services.

            <p>
                Information may also be disclosed when reasonably required by
                applicable law, legal process, court order, or governmental
                authority.
            </p>

            <p>
                EagerLink does not provide personal information to third parties
                for their independent marketing purposes without authorization.
            </p>

            <h3>9. Data Retention and Account Termination</h3>

            <p>
                Information may be retained for as long as reasonably necessary
                to provide the service, maintain legitimate business records,
                comply with legal obligations, resolve disputes, prevent fraud,
                and maintain system security.
            </p>

                Users may contact EagerLink to request information concerning
                their account or to request account termination or deletion of
                eligible account information.
            </p>

            <p>
                Certain records may be retained when required for legal,
                regulatory, contractual, operational, security, backup, or
                legitimate business purposes.
            </p>

            <p>
                Upon termination of an account, access to Colavora Invoice may
                be discontinued.
            </p>

            <p>
                Users are responsible for exporting or retaining any records
                they are legally or commercially required to maintain.
            </p>

            <h3>10. Invoices, Payments, Taxes, and Regulatory Compliance</h3>

            <p>
                Colavora Invoice is a technology platform for managing
                invoicing-related information.
            </p>

            <p>
                <strong>
                    EagerLink does not provide legal, accounting, tax, financial,
                    or regulatory advice through Colavora Invoice.
                </strong>
            </p>

            <p>
                Users are solely responsible for determining the legal,
                accounting, tax, regulatory, and record-retention requirements
                applicable to their businesses, including:
            </p>

            <ul>
                <li>Information required on invoices.</li>
                <li>Applicable taxes.</li>
                <li>Tax calculations.</li>
                <li>Accounting treatment.</li>
                <li>Document retention.</li>
                <li>Government reporting obligations.</li>
            </ul>

            <h3>11. Promotional Complimentary Access</h3>

            <p>
                Certain Colavora Invoice accounts may be provided without charge
                as part of an event, promotional program, demonstration,
                partnership, or other EagerLink initiative.
            </p>

            <p>
                Accounts issued as part of the
                <strong>2026 Expo promotional program</strong> will receive
                access to the included Colavora Invoice service features
                <strong>
                    at no charge for a minimum period of twelve (12) months
                    from the date of registration.
                </strong>
            </p>

            <p>
                This complimentary access represents access to the hosted SaaS
                service and does not constitute the transfer, sale, or grant of
                ownership of the Colavora Invoice software.
            </p>

            <p>
                At the conclusion of the twelve-month complimentary period,
                EagerLink may:
            </p>

            <ul>
                <li>Continue complimentary access.</li>
                <li>Introduce a different free service tier.</li>
                <li>Modify the features included in the complimentary tier.</li>
                <li>Offer the user a paid subscription.</li>
                <li>Discontinue the promotional program or service.</li>
            </ul>

            <p>
                <strong>
                    Users will not be automatically charged at the conclusion
                    of the complimentary period without first affirmatively
                    agreeing to a paid subscription or other applicable billing
                    arrangement.
                </strong>
            </p>

            <p>
                EagerLink may terminate promotional access before the end of the
                twelve-month period in cases involving abuse, fraud, unlawful
                use, security threats, material violations of these Terms, or
                circumstances that make continued operation of the service
                impracticable.
            </p>

            <p>
                Registration for a promotional account does not obligate the
                user to purchase any additional EagerLink product or service.
            </p>

            <h3>12. Service Availability</h3>

            <p>
                EagerLink intends to maintain Colavora Invoice as a reliable
                hosted service but does not guarantee uninterrupted, error-free,
                or continuously available operation.
            </p>

            <p>
                The service may occasionally be unavailable due to maintenance,
                upgrades, infrastructure failures, third-party service
                interruptions, security events, circumstances beyond EagerLink's
                reasonable control, or other operational requirements.
            </p>

            <h3>13. Changes to the Service</h3>

            <p>
                Because Colavora Invoice is provided as a SaaS platform,
                EagerLink may periodically update, improve, modify, replace,
                add, or discontinue individual features.
            </p>

            <p>
                These changes may include modifications intended to improve
                functionality, security, performance, compliance, compatibility,
                or usability.
            </p>

            <p>
                When a material change substantially affects the terms under
                which a user receives the service, EagerLink may provide notice
                through the platform, email, or another reasonable method.
            </p>

            <h3>14. Intellectual Property</h3>

            <p>
                Colavora Invoice and all associated software, technology,
                designs, workflows, databases, interfaces, documentation,
                trademarks, branding, and intellectual property are owned by
                or licensed to EagerLink, LLC.
            </p>

            <p>
                Nothing in these Terms transfers ownership of Colavora Invoice
                or its underlying technology to the user.
            </p>

            <p>
                Users retain their rights to the business information and content
                they enter into the platform, subject to the rights reasonably
                necessary for EagerLink to host, process, transmit, back up,
                and otherwise operate the service on their behalf.
            </p>

            <h3>15. Limitation of Liability</h3>

            <p>
                Colavora Invoice is provided as an administrative technology
                service.
            </p>

            <p>
                To the maximum extent permitted by applicable law, EagerLink
                shall not be responsible for losses resulting from:
            </p>

            <ul>
                <li>Incorrect information entered by a user.</li>
                <li>Business decisions made using information contained within the service.</li>
                <li>User failure to comply with legal, accounting, tax, or regulatory obligations.</li>
                <li>Unauthorized use caused by compromised user credentials.</li>
                <li>Interruptions or failures outside EagerLink's reasonable control.</li>
            </ul>

            <h3>16. Modification of These Terms</h3>

            <p>
                EagerLink may periodically update these Terms of Use and Privacy
                Policy to reflect changes in the service, technology, business
                practices, security requirements, or applicable law.
            </p>

            <p>
                The effective date of the most recent version will appear at
                the beginning of this document.
            </p>

            <p>
                Continued use of the service following applicable notice of
                revised Terms constitutes acceptance of the updated Terms to
                the extent permitted by applicable law.
